1. Scope and creator status
These Creator Terms apply to invited or approved creators who submit, edit, review, or monetize course materials through AIErudit. They supplement the general Terms of Service.
The creator program is curated. Approval, publication, payout eligibility, bundle inclusion, featured placement, and continued availability are subject to editorial, quality, legal, and operational review.
2. Eligibility, invitation, and account security
You must provide accurate information, maintain the security of your creator account, complete any required verification or MFA steps, and promptly notify us of suspected unauthorized access. Creator access is personal and may not be transferred or shared.
We may require you to accept updated creator terms, complete rights attestations, or provide additional documentation before new submissions or releases can proceed.
3. Content submission and review
Submission to the creator workflow does not guarantee publication. We may review, annotate, reject, request revisions, postpone release, or remove materials that do not meet editorial, legal, instructional, accessibility, or commercial standards.
You must provide accurate rights-clearance notes, including disclosure of AI-assisted material, third-party assets, licensed datasets, trademarks, screenshots, code samples, or other material not created entirely by you.
4. Ownership and platform license
You retain ownership in the original creator materials you lawfully control, except for rights you separately assign to us in a signed written agreement. However, as a condition of participating in the creator program, you grant AIErudit and its affiliates a worldwide, transferable, sublicensable, royalty-free license to host, reproduce, format, adapt, translate, excerpt, synchronize, distribute, publicly display, publicly perform, market, bundle, sell, provide learner access to, and otherwise exploit the submitted creator materials in connection with the platform, current and future product formats, and related marketing or support operations.
That license applies during the creator relationship and continues afterward to the extent reasonably necessary to maintain access for existing purchasers, preserve archives, enforce rights, comply with legal obligations, resolve disputes, support backups, and use previously created marketing, analytics, and internal operational records.
You also assign to us, to the extent assignable, all rights in platform-specific edits, metadata, packaging, thumbnails, translated or reformatted platform adaptations, submission feedback, review annotations, and product-improvement suggestions created for the creator workflow. To the extent moral rights or similar rights cannot be assigned, you waive them or consent to our exercise of the licensed rights to the maximum extent permitted by law.
5. Creator warranties and disclosures
- You own or control the rights needed for your submission and the license above.
- Your materials do not knowingly infringe copyright, trademark, privacy, publicity, or other third-party rights.
- You have obtained all needed permissions for visible people, brands, screenshots, client material, and proprietary examples.
- You will accurately disclose AI-assisted material and will not misrepresent third-party work as exclusively your own.
- Your content is lawful, non-defamatory, non-malicious, and not misleading in a way likely to harm learners or the platform.
6. Payouts, offsets, and taxes
Any revenue share, payout percentage, qualifying sale definition, payout timing, bundle treatment, minimum payout threshold, and payout method are governed by the active creator program terms, payout profile requirements, and any written commercial notice we provide. Unless we expressly state otherwise, payouts are discretionary program payments tied to completed, net eligible receipts and may be calculated after refunds, chargebacks, fraud review, tax adjustments, coupons, promotional credits, bundle allocations, and payment processor fees or reserves.
We may offset or withhold amounts for suspected fraud, duplicate payments, unresolved rights disputes, legal claims, sanctions screening, tax documentation failures, refund reversals, or program abuse. You are responsible for your own taxes, filings, and reporting associated with creator earnings.
7. Our editorial and operational rights
We may edit, repackage, feature, de-feature, bundle, localize, subtitle, excerpt, test, price, discount, or market creator materials as part of the platform. We may also decide where and how creator content appears, whether it participates in promotions, and whether it remains available in self-serve, bundle, or business offerings.
We are not required to publish any submission, maintain any particular ranking, or continue any specific monetization model indefinitely.
8. Takedowns, complaints, and enforcement
If we receive a rights complaint, legal demand, or credible concern about safety, accuracy, or compliance, we may suspend distribution, remove materials, freeze payouts, require revised disclosures, or ask you for additional documentation.
We may preserve evidence, share necessary information with advisers or authorities where legally required, and continue limited internal or archival use needed for compliance, defense, and prior-purchaser continuity even if public distribution stops.
9. Confidentiality and creator operations
Non-public roadmap details, review notes, payout data, moderation history, internal analytics, creator support records, and unpublished commercial terms are confidential. You may use them only for your creator relationship with us and may not disclose them without written permission unless required by law.
10. Suspension and termination
We may suspend or terminate creator access at any time for rights risk, non-payment or payout irregularities, fraud, abuse, breach of these Creator Terms, repeated quality failures, sanctions concerns, security issues, or product strategy changes.
After termination, we may stop accepting new submissions and remove public creator pages, but we may keep existing purchaser access, archives, backups, operational records, support history, and evidence needed for legal and commercial continuity.
11. Liability and indemnity
To the maximum extent permitted by law, AIErudit will not be liable for indirect, incidental, special, consequential, or punitive damages arising from the creator relationship, including lost earnings, lost opportunity, or depublication decisions.
You will indemnify and hold harmless AIErudit, its operators, affiliates, personnel, and service providers from third-party claims arising out of your submitted materials, your breach of these Creator Terms, your rights-clearance failures, or your violation of law or third-party rights. This indemnity is intended to survive termination to the maximum extent permitted by law.
12. Governing law and contact
These Creator Terms are governed by the laws of Poland, excluding conflict-of-laws rules. Disputes not resolved informally will be submitted to the courts of Warsaw, Poland, unless non-waivable law requires otherwise.
For creator operations, rights questions, or support issues, contact support@aierudit.com.
